Beyond the individual irregularity: strategic ESG complaints

The role of whistleblower complaints within companies is shifting. While primarily intended as a mechanism for reporting concrete internal policy breaches, complaints are now also increasingly deployed as instruments of strategic pressure, particularly in the ESG sphere. Employees and other stakeholders are leveraging corporate grievance channels not merely to flag individual irregularities, but to challenge corporate policies, push the boundaries of what is expected of companies beyond mere legal compliance, influence business decisions, and drive broader political or ethical agendas. For in-house counsel and compliance professionals, this presents a set of challenges, including: (i) navigating fragmented, rapidly shifting and potentially conflicting regulatory landscapes across multiple jurisdictions, (ii) managing reputational risk in highly politicised debates, and (iii) balancing obligations to complainants against the rights of those accused. This article examines the types of emerging ESG-driven complaints, sets out the regulatory and soft-law context in which they arise and offers practical guidance on the design and execution of ESG-related internal investigations. A structured, anticipatory approach to ESG complaints is thus becoming increasingly important for any company operating in today's environment.
